Download combofix then reboot to safe mode and run combofix. Save the log to the desktop and then after rebooting, post it up here.

I have everything off and it states there is anti - virus on and it states will cont. if i hit ok then it just sits there and does nothing \

Rename combofix to multifix.exe and try running it. If it still will not run, reboot windows normally and try running it.
